Terms of Service for Maple Leaf Garden & Landscape Co.

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern the provision of garden and landscape services by Maple Leaf Garden & Landscape Co. (“Maple Leaf Garden & Landscape Co.”, “we”, “us”, or “our”) to customers, clients, and website users (“you” or “Client”). By requesting, booking, accepting, or paying for any services from Maple Leaf Garden & Landscape Co., you acknowledge that you have read, understood, and agree to be bound by these Terms, as amended from time to time.

If you do not agree to these Terms, you must not use our services or engage us for any work. These Terms apply to all service requests, estimates, quotations, work orders, and service agreements unless otherwise agreed in a written contract signed by Maple Leaf Garden & Landscape Co.

2. Scope of Services

Maple Leaf Garden & Landscape Co. provides garden and landscape services, which may include, without limitation:

  • Garden design and planning
  • Seasonal planting and flower bed installation
  • Lawn care and edging
  • Shrub and hedge trimming
  • Mulching and soil improvement
  • Weed control and bed maintenance
  • Spring and fall cleanups

The exact scope, timing, materials, and deliverables for any project will be set out in a written estimate, proposal, invoice, work order, or service agreement. Any services not expressly included are excluded unless approved in writing by Maple Leaf Garden & Landscape Co.

We may refuse, suspend, or modify services where site conditions, weather, safety concerns, access limitations, or legal/regulatory requirements make performance impractical or unsafe.

3. User Obligations and Responsibilities

You agree to:

  • Provide accurate, complete, and current information about the property, site conditions, and requested services;
  • Ensure safe and reasonable access to the property, including gates, pathways, water access, and work areas;
  • Disclose any known hazards, including underground utilities, irrigation systems, pets, pests, unstable structures, or contaminated soil;
  • Obtain all required permissions, approvals, permits, and consents from landlords, condominium corporations, municipalities, or other third parties;
  • Remove or secure personal property, fragile items, valuables, and obstructions before service begins;
  • Ensure that children, pets, and unauthorized persons remain clear of active work areas;
  • Promptly review completed work and notify us of any concerns within a reasonable time;
  • Use our services only for lawful purposes and in compliance with applicable laws and regulations.

You are responsible for identifying and marking sprinkler heads, buried cables, utility lines, septic systems, and other hidden or sensitive features. Maple Leaf Garden & Landscape Co. is not responsible for damage arising from undisclosed or improperly marked hazards.

4. Payment Terms and Conditions

Unless otherwise stated in writing, all fees are due in accordance with the invoice or estimate provided by Maple Leaf Garden & Landscape Co. We may require a deposit before commencing work, particularly for larger projects, custom design work, seasonal installations, or material purchases.

  • All prices are stated in Canadian dollars (CAD) unless otherwise specified;
  • Applicable taxes, including GST/HST and any other required taxes, will be added where applicable;
  • Material costs, disposal fees, travel charges, permit fees, and third-party costs may be billed separately;
  • Invoices are payable on the due date stated on the invoice, or immediately upon completion if no date is specified;
  • Late payments may result in interest charges at the maximum rate permitted by law and/or suspension of services;
  • You are responsible for all collection costs, including reasonable legal and administrative expenses, to the extent permitted by law.

Estimates are based on information available at the time of quotation. If site conditions, material prices, scope changes, or unforeseen circumstances require additional work or expenses, we may issue a revised estimate or change order for your approval before proceeding, except where immediate action is necessary to prevent damage or address safety concerns.

5. Cancellation and Refund Policy

You may cancel scheduled services by providing reasonable notice. Cancellation terms may vary depending on the type of service, materials ordered, and scheduling commitments. Where a deposit has been paid, it may be non-refundable to the extent it covers administrative time, design work, reserved labour, special-order materials, or other committed costs.

If you cancel after work has begun, you will be responsible for payment for all work performed, materials purchased or ordered, and any non-recoverable costs incurred up to the date of cancellation.

Refunds, if any, are issued only where required by law or where Maple Leaf Garden & Landscape Co. determines in its reasonable discretion that a refund is appropriate. Completed services are generally non-refundable, except where a material failure to perform has occurred and cannot be reasonably remedied.

We may cancel or reschedule services due to weather, unsafe conditions, equipment failure, supply shortages, illness, or other circumstances beyond our control. In such cases, we will make reasonable efforts to reschedule at the earliest available time.

6. Liability Limitations

To the fullest extent permitted by applicable Canadian law, Maple Leaf Garden & Landscape Co. shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of use, loss of profits, loss of enjoyment, or business interruption, arising out of or related to the services.

Our total aggregate liability for any claim arising from or related to the services shall not exceed the amount paid by you to Maple Leaf Garden & Landscape Co. for the specific service giving rise to the claim, except where liability cannot be limited by law.

We are not responsible for:

  • Pre-existing damage, deterioration, disease, pests, or poor soil conditions;
  • Damage caused by hidden utilities, underground structures, irrigation systems, or undisclosed hazards;
  • Plant failure due to weather, drought, overwatering, under-watering, disease, pests, animal activity, or improper aftercare by the Client;
  • Delays or failures caused by force majeure events or third-party acts;
  • Any loss resulting from inaccurate information provided by the Client.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for gross negligence, wilful misconduct, or other non-excludable obligations under applicable law.

7. Intellectual Property Rights

All designs, plans, sketches, concepts, estimates, photographs, written materials, and other deliverables created by Maple Leaf Garden & Landscape Co. remain our intellectual property unless otherwise agreed in writing.

Upon full payment, you receive a limited, non-exclusive, non-transferable licence to use any design materials provided solely for the property and project for which they were created. You may not reproduce, distribute, modify, sell, or use our materials for another property or project without our prior written consent.

We may photograph completed work and site conditions for recordkeeping, quality assurance, training, marketing, and portfolio purposes, subject to applicable privacy laws and any reasonable written objection by the Client where required by law.

8. Data Protection and Privacy

Maple Leaf Garden & Landscape Co. collects, uses, stores, and discloses personal information only as reasonably necessary to provide services, manage customer relationships, process payments, communicate with you, comply with legal obligations, and improve our operations.

We take reasonable administrative, technical, and physical safeguards to protect personal information against loss, unauthorized access, disclosure, alteration, or misuse. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

By engaging our services, you consent to the collection, use, and disclosure of your personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation. 9. Force Majeure

Maple Leaf Garden & Landscape Co. shall not be liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to severe weather, storms, flooding, fire, power outages, labour disputes, supply chain disruptions, acts of government, public health emergencies, transportation interruptions, or acts of God.

If a force majeure event occurs, we may suspend performance for the duration of the event and resume services when reasonably practicable. Any deadlines will be extended for the period of the delay.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect changes in our business practices, legal requirements, or service offerings. The updated Terms will be effective upon posting or upon notice to you, as applicable.

Your continued use of our services after any change constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of our services and, where applicable, notify us before any further work is scheduled.

11. Applicable Law and Jurisdiction

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to any mandatory consumer protection laws or other non-waivable legal rights, the parties agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from these Terms or the services.

13. Severability Clause

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

The failure of Maple Leaf Garden & Landscape Co. to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision unless expressly stated in writing.
